Supreme Court Invokes Equity Jurisdiction, Orders ₹125 Crore Payment to Resolve Atibir Industries’ Loan Dispute

Supreme Court Directs Atibir Industries to Pay Additional ₹125 Crore to Settle SBI Loan Dispute; NPA and Debt Assignment Issues Remain Undecided

Case: Atibir Industries Co. Ltd. v. State Bank of India & Anr.
Citation: 2026 INSC 1156
Decision Date: 26 October 2026
Court: Supreme Court of India
Bench: Chief Justice Surya Kant, Justice Joymalya Bagchi and Justice V. Mohana

Why in News?

On 26 October 2026, the Supreme Court of India directed Atibir Industries Company Limited to pay an additional ₹125 crore to the asset reconstruction company that had acquired its debt from the State Bank of India (SBI). The company had already paid ₹250 crore. The additional amount must be paid within 12 weeks and will constitute full and final settlement of the claims of Respondent No. 2 against the company in respect of the assigned debt.

The Court also directed the respondents to return the title deeds and release the other securities and guarantees within four weeks after receiving the additional payment. The proceedings pending before the National Company Law Tribunal (NCLT), Kolkata, under Section 7 of the Insolvency and Bankruptcy Code, 2016, and before the Debt Recovery Tribunal-I (DRT-I), Kolkata, were ordered to be disposed of in light of the settlement.

Importantly, the Supreme Court did not finally decide whether the classification of the loan account as a Non-Performing Asset (NPA) was legally valid or whether the assignment of the debt to the asset reconstruction company was lawful. The directions were issued in the particular circumstances of this case to bring a long-running dispute to an end.

Background of the Case

Atibir Industries Company Limited is engaged in the manufacture of sponge iron, pig iron and related products. It had obtained various credit facilities, including cash credit, term loans and letters of credit, from a consortium of banks led by SBI. These facilities were secured by assets, mortgages and personal and corporate guarantees.

SBI classified the company’s loan account as a Non-Performing Asset with effect from 16 October 2020. The classification was communicated through a letter dated 31 March 2021. The dispute arose partly because the company questioned the timing and legality of this classification in view of the Reserve Bank of India’s COVID-19-related loan moratorium measures, which had extended the relevant moratorium period up to 31 August 2020.

The company also challenged SBI’s subsequent assignment of the debt to an asset reconstruction company. On 24 March 2023, SBI assigned the debt to the asset reconstruction company, Respondent No. 2, for a consideration of ₹250 crore.

The dispute subsequently reached the Supreme Court after proceedings before the Calcutta High Court. The central question before the Supreme Court at the relevant stage was the amount, if any, payable by Atibir Industries to the assignee over and above the ₹250 crore already paid.

Appointment of a Former Supreme Court Judge

During the proceedings, a dispute arose regarding the additional liability, including interest or any other amount payable beyond ₹250 crore. By an order dated 20 September 2024, the Supreme Court established a payment schedule for the ₹250 crore and contemplated that any additional liability could be assessed, subject to the Court’s final approval.

The Court appointed former Supreme Court judge Justice Anil R. Dave to examine the claim for interest or other liability over and above ₹250 crore. The parties were permitted to submit their claims and supporting material.

Justice Anil R. Dave submitted his report on 9 July 2025. The report considered possible returns at annual rates of 13%, 14% and 15%, along with litigation costs of ₹50 lakh. The parties later submitted their respective objections and suggestions to the report before the Supreme Court.

The Court considered these submissions while determining the additional amount required to settle the dispute.

Arguments of the Parties

Atibir Industries disputed the amount claimed over and above ₹250 crore. It questioned the circumstances in which the debt had been acquired and raised concerns about the source of the funds used for the acquisition. It also disputed the appropriate rate of return that could be considered for the asset reconstruction company.

The asset reconstruction company, on the other hand, disputed aspects of the report and sought a higher amount or further determination of the liability, relying on its position concerning the assigned debt and the relevant financial arrangements.

The Supreme Court considered the rival submissions but did not finally adjudicate all the underlying disputes concerning the legality of the NPA classification or the assignment of the debt. Instead, it focused on determining an amount that could bring the prolonged dispute to an end.

Why Did the Supreme Court Fix the Additional Amount at ₹125 Crore?

The Supreme Court considered several factors, including the highest rate of 15% per annum reflected in Justice Anil R. Dave’s report, the fact that more than 18 months had elapsed since the report, and the costs and expenses incurred by Respondent No. 2.

Taking these circumstances into account, the Court fixed ₹125 crore as the additional amount payable by Atibir Industries. It clarified that the amount was determined without deciding whether it should legally be characterised as a return on investment or otherwise.

The purpose was to achieve a final resolution of the dispute concerning the debt assigned by SBI to Respondent No. 2.

Court’s Observation: A Court of Law and a Court of Equity

The Supreme Court emphasised that its role in the circumstances of the case included balancing the interests of both parties and ensuring complete justice.

The Court observed:

“This Court is not only the Court of law but also a Court of equity.”

This observation reflects the Court’s approach to resolving the dispute in its particular circumstances. It should not be interpreted as a general rule that courts can disregard statutory requirements or contractual rights. The Court expressly linked the relief to the facts and circumstances of this case.

Final Directions of the Supreme Court

The Supreme Court issued the following directions:

  1. Additional payment: Atibir Industries must pay ₹125 crore to Respondent No. 2 within 12 weeks from 26 October 2026, over and above the ₹250 crore already paid.

  2. Full and final settlement: The additional payment will constitute full and final settlement of all claims of Respondent No. 2 against Atibir Industries in respect of the assigned debt.

  3. Return of title deeds and release of securities: After receiving the additional amount, the respondents must, within four weeks, return the title deeds and release the other securities and guarantees held by them.

  4. Closure of pending proceedings: The proceedings initiated under Section 7 of the Insolvency and Bankruptcy Code, 2016, before NCLT Kolkata, and the proceedings before DRT-I Kolkata will stand disposed of in light of the settlement.

  5. Consequence of non-payment: If Atibir Industries fails to pay the additional amount within the stipulated 12-week period, the respondents will be at liberty to revive the proceedings against the company. The company will not be entitled to the benefit of the judgment in that situation.

The Supreme Court disposed of the appeals in accordance with these directions.

Relevant Legal Provisions

The dispute involved the following legal provisions:

  • Section 5, SARFAESI Act, 2002: Concerns acquisition of financial assets by a securitisation company or reconstruction company, subject to the statutory requirements.

  • Section 13(2), SARFAESI Act, 2002: Provides for a demand notice to a borrower whose secured debt has become a non-performing asset, subject to the Act.

  • Section 13(3A), SARFAESI Act, 2002: Deals with consideration of a borrower’s representation or objection to a demand notice.

  • Section 13(4), SARFAESI Act, 2002: Provides for specified measures that a secured creditor may take after the statutory conditions are met.

  • Section 19, Recovery of Debts and Bankruptcy Act, 1993: Relates to applications by banks and financial institutions before the Debts Recovery Tribunal.

  • Section 7, Insolvency and Bankruptcy Code, 2016: Provides for initiation of the corporate insolvency resolution process by a financial creditor.

  • Article 226, Constitution of India: Empowers High Courts to issue writs for enforcement of fundamental rights and for other specified legal purposes.

These provisions formed part of the legal background of the dispute. Their inclusion does not mean that the Supreme Court finally decided every question arising under each provision in this judgment.

Important Judgments Discussed

The judgment referred to the following decisions while considering the legal issues and submissions:

1. Transcore v. Union of India & Anr. (2008)

Citation: (2008) 1 SCC 125

This decision considered the relationship between statutory recovery remedies available to secured creditors. It is relevant to the broader legal background concerning recovery proceedings and the remedies available under applicable statutes.

2. ICICI Bank Ltd. v. Official Liquidator of APS Star Industries Ltd. & Ors. (2010)

Citation: (2010) 10 SCC 1

This decision addressed issues concerning the transfer and assignability of debts and financial assets. It was relevant to the broader issue of assignment of debt to another entity.

3. Bijnor Urban Cooperative Bank Ltd., Bijnor & Ors. v. Meenal Aggarwal & Ors. (2023)

Citation: (2023) 2 SCC 805

This decision concerned the legal position relating to one-time settlement offers and whether a borrower can claim an enforceable right to compel a bank to accept a particular settlement proposal. It was referred to in the submissions in the present case.

These authorities provide context for the legal questions discussed in the proceedings. The specific ₹125 crore settlement, however, was directed in the particular circumstances of Atibir Industries’ case.

What Is the Legal Significance of This Judgment?

The judgment is significant for the following reasons:

First, it demonstrates a settlement-oriented approach. The Supreme Court determined an additional amount with the objective of bringing a prolonged dispute to an end rather than finally resolving every underlying legal controversy.

Second, the payment deadline is crucial. The benefit of the settlement depends on compliance with the 12-week deadline. Failure to comply allows the respondents to revive the proceedings, and the company cannot claim the benefit of the judgment.

Third, the return of security is linked to payment. The respondents must return the title deeds and release the other securities and guarantees within four weeks after receiving the additional amount.

Fourth, important legal questions remain open. The Court did not finally determine the validity of the NPA classification or the lawfulness of the debt assignment. The judgment should therefore not be presented as a final ruling that the disputed NPA classification or assignment was either valid or invalid.

Fifth, the ruling is fact-specific. The Court expressly based its directions on the peculiar facts and circumstances of the case. It should not be treated as a universal formula for calculating interest or additional liability in every loan assignment dispute.

Conclusion

In Atibir Industries Co. Ltd. v. State Bank of India & Anr., the Supreme Court directed Atibir Industries to pay an additional ₹125 crore within 12 weeks, over and above the ₹250 crore already paid, to settle the claims of the asset reconstruction company in respect of the assigned debt. Upon receipt of the additional payment, the respondents must return the title deeds and release the other securities and guarantees within four weeks.

The Court also ordered the relevant NCLT and DRT proceedings to be disposed of in light of the settlement, while allowing the respondents to revive proceedings if the company fails to meet the payment deadline. The judgment is particularly important for its emphasis on balancing the parties’ interests and achieving complete justice in the circumstances of the case.

However, the Supreme Court did not finally determine the legality of the NPA classification or the assignment of the debt. The decision must be understood within the specific facts and settlement directions recorded by the Court.

1. Transcore v. Union of India & Anr. (2008)

2. ICICI Bank Ltd. v. Official Liquidator of APS Star Industries Ltd. & Ors. (2010)

3. Bijnor Urban Cooperative Bank Ltd., Bijnor & Ors. v. Meenal Aggarwal & Ors. (2023)

Atibir Industries Co. Ltd. v. State Bank of India & Anr.
